1. Agreement to these Terms
PamaOS is operated by Pama Technologies ("Pama", "we", "us", or "our"). By creating an account, joining an organisation, purchasing a subscription, or using PamaOS, you agree to these Terms of Service.
If you use PamaOS for an organisation, you confirm that you have authority to accept these Terms for that organisation. If you do not agree, do not use the service.
2. The PamaOS service
PamaOS is a configurable, offline-first business operating system. An organisation may enable, disable, and rename modules to support its operations. Available features may include sales, products, inventory, customer relationships, people management, finance, reporting, communications, and integrations.
Features, limits, and availability may differ by plan, platform, location, business configuration, or release stage. We may improve, replace, or discontinue features while taking reasonable steps to avoid unnecessary disruption.
3. Accounts, organisations, and permissions
You must provide accurate account information and keep credentials and recovery methods secure. You are responsible for activity performed through your account unless caused by our failure to protect the service.
Organisation owners and authorised administrators control workspace membership, module access, roles, permissions, locations, and devices. Users must follow the instructions and policies of the organisation that granted them access.
Shared-device access must be configured responsibly. Organisations are responsible for promptly removing former staff, protecting devices, and reviewing permissions appropriate to each user's work.
4. Organisation data
As between Pama and the organisation, the organisation retains ownership of business data submitted to PamaOS. The organisation grants Pama the limited rights needed to host, process, transmit, back up, and otherwise handle that data to provide, secure, support, and improve the service.
The organisation is responsible for ensuring that it has the rights, permissions, notices, and lawful basis needed to enter and process information in PamaOS, including information about customers, staff, suppliers, and other individuals.
5. Offline use and synchronisation
PamaOS may store authorised workspace information locally so that users can continue working during network outages. Changes may be queued and synchronised after internet access returns.
Offline operation cannot guarantee immediate cloud backup, real-time visibility on another device, or instant enforcement of a remote change. Conflicts, interrupted synchronisation, damaged devices, or prolonged disconnection may delay or prevent updates. Organisations should follow available backup, device-security, and synchronisation guidance.
6. Email and third-party integrations
When an organisation connects Gmail, Microsoft, SMTP, payment, storage, identity, analytics, or another third-party service, it authorises PamaOS to use the granted permissions to perform requested functions.
For connected email accounts, authorised users may instruct PamaOS to send invoices, documents, and operational messages from that account. The organisation is responsible for recipient addresses, message content, attachments, consent, and compliance with anti-spam and other communications laws.
Third-party services are governed by their own terms and may change, suspend, or limit access. Pama is not responsible for a third party's service, outage, pricing, or independent conduct.
7. Acceptable use
You must not use PamaOS to:
- Break applicable law or violate another person's rights.
- Send unlawful, deceptive, abusive, unsolicited, or malicious communications.
- Upload malware, probe security without permission, bypass access controls, or interfere with the service or another organisation.
- Access data without authorisation, impersonate another person, or provide false ownership or business information.
- Resell, reverse engineer, scrape, copy, or exploit PamaOS except where expressly permitted by law or a written agreement with Pama.
8. Fees, subscriptions, and taxes
Paid plans, billing periods, included usage, and renewal terms will be shown when an organisation subscribes or in a separate order. Unless stated otherwise, fees are due in advance, exclude applicable taxes, and are non-refundable except where required by law or expressly agreed.
We may change pricing for a future billing period after giving reasonable notice. Failure to pay may result in limits, suspension, or termination after any applicable grace period.
9. Intellectual property
Pama and its licensors retain all rights in PamaOS, including its software, design, branding, documentation, and underlying technology. These Terms grant a limited, revocable, non-exclusive, non-transferable right to use PamaOS for the organisation's internal business purposes during an active account or subscription.
Feedback may be used to improve PamaOS without restriction or payment, provided we do not publicly identify the contributor without permission.
10. Confidentiality and security
Each party must use reasonable care to protect non-public information received from the other and may use it only for the relationship under these Terms, except where disclosure is authorised or legally required.
We use safeguards designed to protect PamaOS, but no system is entirely secure. Organisations must maintain appropriate internal controls, device security, access reviews, and lawful data-handling practices.
11. Service availability
We aim to keep PamaOS reliable, including during unreliable internet access, but do not promise uninterrupted or error-free operation. Maintenance, third-party outages, device failure, connectivity, security events, or circumstances outside our reasonable control may affect the service.
PamaOS is a business-management tool and does not provide legal, tax, accounting, financial, employment, or regulatory advice. Organisations remain responsible for professional review and statutory compliance.
12. Suspension and termination
An organisation may stop using PamaOS subject to its subscription terms. We may restrict or suspend access when reasonably necessary to address security risks, unlawful use, material breach, non-payment, or harm to PamaOS or others.
On termination, access may end and data may be deleted according to the Privacy Policy, product notices, applicable law, and any agreed export or retention period. Offline copies on organisation-controlled devices may remain until removed or synchronised.
13. Disclaimers
To the maximum extent permitted by law, PamaOS is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.
14. Limitation of liability
To the maximum extent permitted by law, Pama will not be liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or data.
Pama's total liability arising from PamaOS will not exceed the amount paid by the affected organisation for PamaOS during the twelve months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.
15. Changes to these Terms
We may update these Terms to reflect service, legal, security, or operational changes. We will publish the updated version with a new effective date and provide additional notice when required. Continued use after the effective date means the updated Terms apply.
16. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Before starting formal proceedings, each party will make a good-faith effort to resolve a dispute through written notice and direct discussion.
